North Star Global LLC provides web development, software consulting, and related technology services including custom web development, software consulting, application development, SEO and marketing services, business automation solutions, and strategic technology consulting.

To access certain Services, you may be required to create an account. You must provide accurate and complete information and keep your account information updated.

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. Use a strong, unique password, do not share credentials, notify us immediately of unauthorized access, and accept responsibility for all activities under your account.

We reserve the right to suspend or terminate your account at any time for violation of these Terms, fraudulent activity, or any other reason at our sole discretion.

You agree to use our Services only for lawful purposes and in accordance with these Terms. You agree not to:

• Violate any applicable laws or regulations
• Infringe upon the rights of others
• Transmit harmful or malicious code
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt the Services
• Use automated systems to access the Services without permission
• Impersonate any person or entity

The following activities are strictly prohibited and may result in immediate termination:

• Fraud or misrepresentation
• Spam or unsolicited marketing
• Harassment or abuse
• Distribution of malware
• Copyright infringement

• Reverse engineering
• Illegal content distribution

The Services and their original content, features, and functionality are owned by North Star Global LLC and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

You retain all rights to content you submit or upload to our Services. By submitting content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and distribute your content solely for the purpose of providing Services.

For custom development projects, intellectual property rights in the final deliverables will transfer to the client upon full payment, unless otherwise specified in a separate written agreement. We retain rights to any pre-existing materials, templates, or tools.

Prices for our Services are as quoted at the time of purchase and are subject to change. All prices are in USD unless otherwise specified. Custom projects will have pricing detailed in a separate statement of work or contract.

Refund and cancellation policies vary by service type. Custom development projects are governed by the specific terms in the project agreement. For subscription services, you may cancel at any time, with access continuing until the end of the paid period.

Late payments may incur interest charges and result in suspension of Services. We reserve the right to use collection agencies or legal action for seriously delinquent accounts.

We may terminate or suspend your access to our Services immediately, without prior notice or liability, for any reason, including breach of these Terms.

Upon termination, your right to use the Services will cease immediately. We are not obligated to return any content or data, though we may allow a reasonable period for data retrieval at our discretion.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NORTH STAR GLOBAL LLC SHALL NOT BE LIABLE FOR indirect, incidental, special, or consequential damages, loss of profits, revenue, data, or business opportunities, or damages resulting from use or inability to use Services.

Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim, or $100, whichever is greater.

You agree to indemnify and hold harmless North Star Global LLC from any claims, damages, losses, and expenses arising from your use of Services, violation of these Terms, or infringement of any third-party rights.

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the new Terms on our website and updating the effective date.

These Terms are governed by the laws of Minnesota, United States. Any disputes shall be resolved in the courts of Minnesota. If any provision is found unenforceable, the remaining provisions continue in full force. These Terms, together with our Privacy Policy, constitute the entire agreement between you and North Star Global LLC.
